PeopleLinx

Privacy Policy

Effective date: October 12, 2026

1. Scope and roles

Game Time Updates LLC dba PeopleLinx ("PeopleLinx," "we," "us," or "our") respects your privacy. This Privacy Policy describes how we collect, use, disclose, protect, and retain personal information in connection with our website, sales activities, accounts, and services. Personal information includes information that identifies or can reasonably be linked to a person.

When we process personal information on a customer's behalf to deliver services, our agreement with that customer and the PeopleLinx Data Processing Agreement ("DPA") govern that processing. The customer determines the purposes of that processing and is responsible for its own privacy notices and lawful instructions. This Policy does not replace those notices or expand our rights to use customer data under the DPA.

We deliver managed services using our proprietary technologies and third-party platforms. PeopleLinx and those platform providers are separate organizations. PeopleLinx is responsible for its own activities; a provider's platform processing is governed by the relevant provider agreement and, where a provider processes data on our behalf, our DPA obligations also apply. Our agency relationship does not make every provider practice or certification a PeopleLinx practice or certification.

2. Information we collect

Depending on your interactions with us and the services used, we may collect business contact details such as names, job titles, employers, email addresses, telephone numbers, and business addresses; account and authentication information; billing and payment information; sales inquiries and support communications; and customer-provided prospect records, campaign content, and email communications relevant to the services.

We may also receive information from authorized integrations, identity providers such as Google single sign-on, customers, and third-party business data providers. Authorized integration data is limited by the permissions granted and the features used. Website and service interactions may generate technical and usage information, including IP addresses, device or browser information, logs, and cookie or similar technology data where those technologies are used.

Business contact details and email content can be personal information even when used in a business setting. Customers must not submit sensitive or regulated information prohibited by the Terms unless PeopleLinx has expressly agreed in writing to the processing and appropriate safeguards.

3. How we use information

We use personal information as necessary to respond to inquiries; evaluate prospective engagements; establish and administer accounts; deliver and support services; connect authorized integrations; process payments; prevent fraud and unauthorized access; maintain security; comply with legal requirements; and resolve disputes. We may send service communications and marketing communications, subject to applicable law and your choices.

Where data protection law requires a legal basis, we rely, as appropriate to the circumstances, on performance of a contract, legitimate interests such as business administration and security, compliance with legal obligations, or consent where required. When acting as a processor, we process customer personal data only under the DPA and lawful documented instructions.

4. Disclosures and service providers

We do not sell personal information. We disclose personal information only as permitted by applicable law and as reasonably necessary for the purposes described in this Policy, including to providers supporting hosting, communications, customer support, payment processing, security, and authorized service delivery. Providers processing customer personal data on our behalf are subject to the DPA's subprocessor requirements.

We may disclose relevant information to a membership-program partner when you authorize that disclosure; to legal or professional advisers; to authorities when legally required; or as reasonably necessary to protect legal rights and address fraud or security threats. We may also disclose information in connection with a merger, acquisition, financing, or transfer of business assets, subject to applicable law and appropriate confidentiality protections.

We do not disclose customer personal data for cross-context behavioral advertising or permit service providers to use it for their own unrelated marketing. Any website advertising, tracking, or analytics practices must be disclosed consistently with applicable law and any required consent or opt-out mechanisms.

For agreed managed outreach services, authorized contact records, campaign content, messages, and related account information may be processed through our proprietary technologies or the third-party platforms used for your service. The PeopleLinx DPA identifies those providers and explains the distinction between provider-managed infrastructure, PeopleLinx's agency responsibilities, and customer-controlled provider accounts. Contact us for the providers and features applicable to your service.

5. Optional third-party tools

If you choose to connect or use an independent third-party tool, information you authorize for that connection may be transmitted to or collected by the provider. Its terms and privacy practices govern its independent processing. Review the permissions, provider terms, and privacy policy before authorizing access. You may revoke access through the relevant account or integration settings, although revocation does not necessarily delete information already held by that provider.

A referral, introduction, or assistance with a tool does not constitute permission to violate another platform's rules. Client responsibilities and the allocation of liability are addressed in the Terms. Providers engaged by PeopleLinx to process data on our behalf remain subject to our DPA obligations; describing them as third parties does not remove those obligations.

6. Automated and AI-assisted features

Where an AI-assisted feature is included in an agreed service, personal information contained in prompts, prospect records, or communications may be processed by the providers supporting that feature, subject to the applicable contract, settings, permissions, and DPA. Customers should request the applicable provider and data-use details before enabling a feature and must not submit prohibited sensitive information.

PeopleLinx will not use customer personal data to train a general-purpose AI model, or authorize that use by a provider, without the customer's express written authorization and a lawful basis. This restriction does not authorize any processing outside the DPA. AI features are used only within the agreed service and lawful Instructions. Our outreach platform provider's public data-processing terms state that it will not use customer data to train generalized AI or machine-learning models for other customers unless expressly agreed in writing. Applicable providers and feature settings must be assessed for the specific service; you may contact PeopleLinx to request applicable data-use details or discuss restricting or disabling an optional feature.

7. Retention and deletion

We retain personal information for as long as reasonably necessary for the applicable purpose, contractual obligations, security, dispute resolution, or legal requirements. Certain accounting, billing, and tax records may be retained for seven years or longer if legally required. That period does not apply automatically to all prospect records, campaign content, or email communications.

You may request access, export, correction, restriction, or deletion at any time by contacting info@peoplelinx.com or pbaynes@peoplelinx.com. We verify identity and authority, carry out lawful requests without undue delay and within applicable legal deadlines, and coordinate applicable provider actions. We will explain relevant timing and exceptions. A request does not guarantee instantaneous removal from every system, cancel a payment commitment, or require deletion of records lawfully retained for accounting, legal holds, security, or opt-out suppression. Backup copies may remain under restricted provider retention cycles as explained in the DPA; this is not permission for indefinite retention. Retained information is limited to the lawful purpose, and mandatory rights continue to apply.

8. Security

We use commercially reasonable technical and organizational safeguards appropriate to the information and processing involved. Customer-data safeguards are addressed in the DPA. No system or transmission method is completely secure. Customers and users must protect credentials, limit access, and notify us promptly of suspected unauthorized activity.

9. Choices and privacy requests

You may opt out of marketing emails using the unsubscribe instructions in the message or by contacting info@peoplelinx.com. Necessary account, security, and contractual notices may still be sent. Marketing text messages require consent where applicable; you may withdraw consent through the instructions provided or by contacting us.

Depending on applicable law, you may have rights to request access, correction, deletion, portability, restriction, or objection; withdraw consent; opt out of certain processing; or appeal a decision on a request. Contact info@peoplelinx.com to exercise applicable rights. We may verify your identity and authority, and legal exceptions may apply. We will respond within the period required by applicable law and will not unlawfully discriminate for exercising privacy rights. You may also complain to the appropriate supervisory authority.

Where PeopleLinx processes information for a customer, direct your request to that customer. If we receive such a request, we will assist or forward it as provided in the DPA.

10. International processing and children

Personal information may be processed in the United States and other locations used by authorized providers. Where applicable law requires international-transfer safeguards, the DPA and applicable transfer documentation establish those safeguards for customer personal data.

Our services are intended for business users aged 18 or older and are not directed to children under 13. We do not knowingly collect personal information from children under 13. Contact us if you believe a child has supplied information so we can address it.

11. Changes and contact

We will post updates with an updated effective date and provide notice of material changes through email, the website, or another appropriate channel. We will obtain consent where legally required. An update does not retroactively authorize a materially different use that requires consent or an amendment to a customer agreement.

Terms of Use

Effective date: October 12, 2026

1. Agreement, acceptance, and priority

These Terms of Use ("Terms") govern access to the PeopleLinx website, technology, and services, including sales demonstrations and evaluation access where these Terms are accepted. "PeopleLinx" means Game Time Updates LLC dba PeopleLinx. "You" means the individual accepting these Terms and, where that individual acts with authority for an organization, that organization. The individual represents that they have authority to bind that organization.

You accept these Terms by signing an agreement incorporating them, affirmatively accepting them through a clearly identified electronic acceptance process, or otherwise agreeing to them in a legally enforceable manner. Mere viewing of publicly available website content does not, by itself, create a confidentiality agreement covering that public content.

An accepted order form or statement of work ("Order Form") describes the services, fees, quotas, term, and other engagement details. A separately signed agreement prevails over these Terms to the extent of a conflict. Applicable mandatory international-transfer clauses prevail over conflicting provisions; the DPA controls customer personal-data processing; and the Order Form controls agreed commercial terms. Affiliate terms apply only where separately accepted for an affiliate relationship. The Privacy Policy describes our privacy practices and does not expand rights under the DPA.

"Services" means services and authorized technology made available by PeopleLinx. "Website" means peoplelinx.com and related PeopleLinx-operated pages. "Customer Content" means records, materials, communications, and other content supplied by you or processed on your behalf. "PeopleLinx Materials" means website content and PeopleLinx-owned materials, excluding Customer Content and third-party materials. "Account Holder" means the person or organization holding an account; "User" means an authorized individual using it.

PeopleLinx delivers managed outreach, campaign, and related services using its proprietary technologies and third-party platforms operated by independent providers. Those providers operate their underlying technology; PeopleLinx provides the agency activities described in your Order Form. PeopleLinx does not represent that it owns a provider's software, guarantees provider availability, or holds the provider's security certifications. Where you contract directly with a provider, your accepted provider terms govern that direct relationship. Where PeopleLinx engages a provider for managed services, PeopleLinx remains responsible for its agreed agency duties and applicable subprocessor obligations. Provider terms do not override mandatory rights or PeopleLinx's express commitments.

2. Accounts and authorized users

Accounts may be created and used only by persons aged 18 or older with authority to act for the Account Holder. You must provide accurate account and billing information and keep it current. You are responsible for Users you authorize, appropriate account permissions, and protecting credentials. Notify PeopleLinx promptly of suspected unauthorized access. You may not access another person's account without authorization. These obligations do not remove PeopleLinx's own security or data-protection duties.

3. Fees and payment

Fees, payment methods, quotas, and billing frequency are specified in the Order Form. Unless otherwise agreed, fees are billed in advance in U.S. dollars. You authorize charges to an approved payment method for amounts due under the agreement. Invoiced amounts are payable within 30 days unless the Order Form states otherwise. Usage charges or overages must follow the agreed Order Form and applicable measurement method; we will provide reasonable supporting billing details upon request.

You are responsible for applicable taxes other than taxes on PeopleLinx's net income. Undisputed amounts unpaid more than 30 days after their due date may accrue simple interest at 1.5% per month or the maximum lawful rate, whichever is lower. No additional 10% late fee applies under these Terms. Reasonable collection expenses may be recovered to the extent permitted by law and the agreement.

Notify us of billing disputes promptly, preferably within 30 days, with supporting details. This notice period does not waive rights that cannot lawfully be waived. Unless the Order Form or applicable law provides otherwise, paid fees are nonrefundable; discretionary credits require written confirmation. Authorized payment providers process billing data under applicable privacy arrangements.

We may suspend services for overdue undisputed amounts after reasonable written notice and an opportunity to cure. Suspension does not authorize unlawful withholding of personal data or eliminate required DPA assistance. Fee or quota changes will be notified at least 30 days before taking effect and will not override a fixed-price commitment or signed Order Form.

4. Service availability, support, and security

PeopleLinx provides support as specified in the Order Form or generally offered with the purchased service. We may suspend affected services where reasonably necessary to address a security threat, unlawful use, material breach, or unpaid undisputed fees. We will provide notice and updates where reasonably practicable and restore access when the grounds for suspension are resolved. Immediate suspension is permitted when needed to address an urgent threat or legal requirement.

You must configure authorized connections appropriately, manage permissions, protect credentials, and maintain suitable copies of your materials. PeopleLinx remains responsible for its agreed security obligations and applicable legal duties. No suspension clause overrides the DPA or mandatory rights.

5. Proprietary rights and permitted use

PeopleLinx and its licensors retain ownership of the Services, PeopleLinx Materials, software, methodologies, processes, systems, tools, strategies, workflows, configurations, trade secrets, and know-how they own or develop. Public availability of a material does not grant a right to copy protected expression or use PeopleLinx trademarks. Third-party materials remain the property of their respective owners.

Subject to these Terms and payment of applicable fees, PeopleLinx grants you a limited, nonexclusive, nontransferable, nonsublicensable right to use the Services for your internal business purposes during the agreed term. Authorized Users may act on your behalf. No ownership of PeopleLinx intellectual property transfers to you.

You retain ownership of Customer Content. Rights in licensed prospect data, third-party software, and third-party materials are subject to the applicable provider licenses. Ownership and export rights for specific deliverables are governed by the Order Form and those licenses.

PeopleLinx may use genuinely anonymized and aggregated operational statistics for legitimate business purposes where permitted by law and the DPA. Such statistics must not identify you, a person, or confidential customer information; PeopleLinx will not attempt to reidentify them.

6. Confidentiality and nondisclosure

6.1 Protected information.

"PeopleLinx Confidential Information" means nonpublic information disclosed or made accessible by or on behalf of PeopleLinx in connection with a proposed or actual engagement that is designated confidential or that a reasonable person would understand to be confidential from its nature or the circumstances. It includes nonpublic solutions, methodologies, processes, playbooks, campaign strategies, templates, workflows, automation logic, configurations, integrations, data-selection and enrichment methods, nonpublic datasets, source code, pricing proposals, security information, and details of how PeopleLinx selects, combines, configures, or uses third-party tools.

Protection applies regardless of format and includes information shared in response to your request through sales calls, demonstrations, proposals, evaluation access, restricted website areas, onboarding, training, support, and service delivery. Nonpublic combinations or implementations may be protected even when individual components are publicly known. Third-party information entrusted to PeopleLinx is protected to the extent PeopleLinx is authorized to disclose it confidentially.

6.2 Prospective engagements and prior disclosures.

These duties apply to prospective customers who accept these Terms or a separate confidentiality agreement, whether or not they later buy Services. After valid acceptance, these duties also apply to identifiable nonpublic information previously disclosed for the same prospective or actual engagement, to the extent lawful and expressly agreed. They do not create obligations before acceptance merely because a person visited the public Website. Public marketing content, general industry knowledge, and information lawfully obtained from a public source are not confidential solely because PeopleLinx discussed them.

6.3 Use, access, and disclosure restrictions.

You may use PeopleLinx Confidential Information only to evaluate the proposed engagement or receive and use the agreed Services for your internal business purposes. You must not publish, distribute, sell, license, disclose, or use it to reproduce or commercialize PeopleLinx's nonpublic solutions or assist another party to do so without PeopleLinx's prior written consent. Do not share it with a competitor for competitive use. Recordings, screenshots, exports, and internal notes containing it remain subject to these obligations.

You may disclose it only to employees, contractors, and professional advisers who need to know for the permitted purpose and are bound by confidentiality and use restrictions at least as protective as these Terms, including professional duties where applicable. You are responsible for their compliance. Protect it with at least reasonable care and no less than the care you use for similarly sensitive information of your own. Notify PeopleLinx promptly of known unauthorized use or disclosure and reasonably cooperate in limiting its effects. Uploading it to an external AI or similar service is a disclosure and requires PeopleLinx's prior written authorization unless that service is expressly approved for the permitted purpose and provides appropriate confidentiality and data-use protections.

6.4 Exclusions.

Confidentiality duties do not apply to information you can demonstrate was lawfully known without restriction before disclosure; becomes public without a breach; is received lawfully from a third party without a confidentiality duty; or is independently developed without use of PeopleLinx Confidential Information. PeopleLinx Confidential Information does not include your independently owned Customer Content merely because it is processed through the Services.

6.5 Required and protected disclosures.

You may disclose information to the extent required by law, court order, or a competent authority. Where legally permitted, give prompt notice, reasonably assist efforts to obtain protection, and disclose only what is required. Nothing prohibits lawful reporting of suspected wrongdoing, protected whistleblowing, communications with regulators, or other legally protected disclosures, and no prior authorization or notice is required where law prohibits such a condition.

6.6 Return, deletion, and duration.

Upon written request or termination of an evaluation or engagement, stop unauthorized use and return or delete PeopleLinx Confidential Information, including copies and notes, except limited copies legally required to be retained, one compliance archive, or inaccessible routine backups retained under established deletion cycles. Retained information remains protected and may not be used for another purpose. Confirm compliance in writing upon reasonable request.

The confidentiality and use restrictions survive for five years after the applicable disclosure. Trade secrets remain protected for as long as they qualify as trade secrets under applicable law. Protection of personal data continues as required by the DPA and law. No license is granted by disclosure. PeopleLinx may seek injunctive relief where legally available, subject to the applicable court's standards.

6.7 Customer information.

PeopleLinx will protect your nonpublic business information disclosed for an engagement using reasonable care and will use it only to evaluate, provide, support, or administer the agreed engagement. Disclosure is limited to personnel and providers with a need to know and appropriate confidentiality obligations, or lawful required disclosure. The exclusions, protected disclosures, and duration above apply correspondingly; the DPA controls personal data.

7. Acceptable use

You must not use the Services to violate law or applicable third-party terms; gain unauthorized access; circumvent security, account restrictions, or access controls; impersonate others; distribute malicious code; send unlawful communications; or infringe privacy or intellectual-property rights. You must not reverse engineer or copy proprietary software except to the extent a restriction is prohibited by applicable law. Automated access to PeopleLinx systems requires authorization; agreed integrations and service features are permitted within their authorized scope.

Notify PeopleLinx promptly if you become aware of unlawful or unauthorized use. PeopleLinx may investigate and restrict affected functionality where reasonably necessary to protect users, providers, or the Services.

8. Optional third-party tools and platform compliance

8.1 Independent tools.

You may elect to use third-party tools, platforms, integrations, or automation products outside or alongside the Services ("Client-Elected Tools"), including tools PeopleLinx personnel identify or introduce. A referral does not guarantee that a tool, use case, or configuration complies with the terms of any platform it interacts with. PeopleLinx does not authorize or endorse conduct prohibited by applicable law or platform terms.

8.2 Your responsibilities.

Before enabling or using a Client-Elected Tool, you must review and comply with the tool provider's and each affected platform's then-current terms, acceptable-use policies, developer rules, automation restrictions, permissions, and applicable law. You are responsible for obtaining authorizations, licenses, and consents; selecting lawful settings and workflows; protecting credentials; controlling volumes and content; and monitoring changes to applicable rules. If a use is prohibited, you must not undertake it or instruct PeopleLinx to perform it.

Your voluntary decision to use a tool is not an acknowledgment that every use violates platform terms. It is an acknowledgment that permitted use must be assessed for the particular tool, account, platform, and activity. PeopleLinx may decline or discontinue assistance where it reasonably believes the requested activity is prohibited or unsafe.

8.3 Independent conduct and consequences.

To the extent permitted by law, you bear responsibility for claims, account warnings, restrictions, suspensions, bans, loss of access, or other consequences caused by your independently selected or controlled use of Client-Elected Tools, including your violation of provider or platform terms. PeopleLinx is not responsible for a provider's availability, policy changes, or enforcement decisions, or for your independent acts, except to the extent caused by PeopleLinx's own breach, negligence, willful misconduct, or nonwaivable legal obligations.

8.4 Operational and data responsibilities remain.

When PeopleLinx selects, configures, operates, or manages a tool as part of an agreed service, its responsibility for its own acts and omissions remains governed by the agreement and applicable law. Your instruction or opt-in does not permit PeopleLinx to disregard those duties. A provider processing customer personal data on PeopleLinx's behalf remains a subprocessor under the DPA even if you elected or approved its use. A provider independently engaged and controlled by you is subject to your agreement with that provider. Actual functions and data flows determine the roles.

8.5 Authorization records.

PeopleLinx may require written confirmation of your election, the permitted scope, account permissions, and data sharing before supporting a Client-Elected Tool. Such confirmation does not authorize prohibited conduct or waive mandatory duties. You are responsible for the tool's charges unless the Order Form states otherwise.

9. Email and other outreach compliance

You must ensure that your lists, targeting, message content, and sending instructions comply with applicable privacy, electronic-marketing, telephone, and messaging laws, including CAN-SPAM where applicable. Use accurate sender information and nondeceptive subjects; include a valid physical postal address and any required advertising disclosure; provide a compliant, functioning opt-out method; and maintain suppression records. Opt-out mechanisms must remain available for at least 30 days after sending where CAN-SPAM applies, and opt-out requests must be honored within 10 business days or sooner where another applicable rule requires it.

Consent requirements vary by jurisdiction and channel; compliance with CAN-SPAM alone does not establish compliance elsewhere. You must provide notices and obtain consents or other lawful authority where required. PeopleLinx may suspend affected campaigns for unlawful instructions, material complaint levels, or provider-rule violations. Contractual allocation of tasks does not eliminate either party's own legal responsibilities for messages it initiates, sends, or causes to be sent. Delivery, responses, leads, sales, and continued provider access are not guaranteed.

10. Customer Content, privacy, and communications

You represent that you have the rights and authority necessary for lawful processing of Customer Content. You grant PeopleLinx a limited, nonexclusive license to use, reproduce, transmit, adapt, and display Customer Content only as necessary to provide and administer the agreed Services and as otherwise expressly authorized. Personal data use is limited by the DPA. The license does not authorize publication of confidential content, sale of personal data, or general-purpose AI training.

Do not submit unlawful, infringing, threatening, or malicious content. Unless expressly agreed in writing with appropriate safeguards, do not submit protected health information, payment-card authentication data, government identification numbers, biometric identifiers, account passwords within campaign records, or other sensitive or specially regulated personal data. Authorized account connections and payments must use approved secure workflows. Ordinary business contact data and email content may still be personal data and must be handled accordingly.

PeopleLinx may remove or restrict content reasonably believed to violate the agreement or law and will provide notice where appropriate. We may disclose Customer Content as authorized, necessary for agreed service delivery, or legally required, subject to the DPA and applicable notice obligations.

Unless a signed agreement authorizes otherwise, PeopleLinx requires your written permission to use your name, logo, testimonial, confidential results, or other identifying materials in public marketing or case studies. Account and service notices may be sent to your registered contacts. Marketing communications and optional text messages are subject to applicable consent and opt-out rules.

11. Feedback

You may voluntarily provide suggestions about the Services. PeopleLinx may use those suggestions without compensation or attribution to improve its products and services. This permission does not transfer ownership of Customer Content or permit disclosure of personal data, customer confidential information, or another person's protected intellectual property. Do not submit confidential third-party information as feedback without authority.

12. Warranties and disclaimers

EXCEPT FOR EXPRESS COMMITMENTS IN A SIGNED AGREEMENT OR THE DPA, AND TO THE EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PEOPLELINX DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, THE ACCURACY OR COMPLETENESS OF THIRD-PARTY DATA, OR PARTICULAR COMMERCIAL RESULTS.

These disclaimers do not override express service, confidentiality, security, or data-protection obligations, or warranties and rights that cannot lawfully be excluded.

13. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, NEITHER PEOPLELINX NOR ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, EMPLOYEES, OR CONTRACTORS ("PEOPLELINX PARTIES") WILL BE LIABLE UNDER THIS AGREEMENT FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, GOODWILL, OR BUSINESS OPPORTUNITIES.

SUBJECT TO THE EXCEPTIONS BELOW AND ANY DIFFERENT CAP IN A SIGNED AGREEMENT, THE TOTAL AGGREGATE LIABILITY OF PEOPLELINX AND THE PEOPLELINX PARTIES ARISING FROM THE SAME ENGAGEMENT WILL NOT EXCEED THE FEES YOU PAID TO PEOPLELINX FOR THAT ENGAGEMENT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or liability that cannot lawfully be limited. They do not limit mandatory rights or liabilities under applicable international-transfer clauses. An independent provider's actions are not automatically attributed to PeopleLinx, but calling a provider a third party does not eliminate PeopleLinx's contractual or statutory responsibility for it.

14. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless the PeopleLinx Parties against third-party claims and reasonable associated costs arising from your unlawful Customer Content, material breach of these Terms, unauthorized disclosure or misuse of PeopleLinx Confidential Information, or independently selected or controlled use of a Client-Elected Tool that violates law or applicable provider or platform terms.

Your obligation applies only to the extent caused by your acts or omissions or those of persons for whom you are responsible. It does not cover losses caused by PeopleLinx's breach, negligence, willful misconduct, or nonwaivable obligations. PeopleLinx must promptly notify you of a claim, reasonably cooperate at your expense, and allow a reasonable defense with counsel reasonably acceptable to PeopleLinx. No settlement may admit fault, impose nonmonetary obligations, or fail to release an indemnified party without that party's written consent. PeopleLinx may participate with separate counsel at its own expense, subject to applicable conflict-of-interest requirements.

15. Service changes and termination

PeopleLinx may update features, providers, and delivery methods. Material reductions to committed services or changes to agreed commercial terms require compliance with the Order Form and any applicable notice or consent requirement. Security or legal changes may take effect promptly where reasonably necessary.

You may stop using the Services, but doing so does not cancel a fixed-term payment commitment. Renewal, cancellation notice, early-termination rights, and remaining fees are governed by the Order Form. Closing an account alone does not accelerate unearned fees unless the signed agreement expressly provides for that result and law permits it.

Either party may terminate for the other's material breach if it remains uncured for 30 days after written notice, unless a different period is agreed. PeopleLinx may suspend or terminate affected services immediately when required by law or reasonably necessary to address unlawful use or an urgent security threat. If an essential provider becomes unavailable, PeopleLinx will use reasonable efforts to propose an alternative; rights concerning undelivered prepaid services remain subject to the signed agreement and law.

You may request export or deletion of Customer Content at any time by contacting info@peoplelinx.com or pbaynes@peoplelinx.com. At termination, PeopleLinx will coordinate return or deletion under the DPA and any agreed export process; request any desired export before closing an independent provider account or directing irreversible deletion. Export of non-personal content remains subject to applicable third-party licenses and authorized functionality; mandatory personal-data rights remain intact. A security suspension may require secure assisted export. Provider-managed deletion and backup timing may differ by system and will be explained for the request. A deletion request does not by itself cancel a fixed-term payment commitment. Ordinary continued service access after termination requires agreement, but required return, deletion, and data-rights assistance is not conditioned on buying additional services. Confidentiality, accrued payment obligations, ownership, liability provisions, and other terms intended by their nature to survive will survive.

16. Governing law and disputes

Except where mandatory law or applicable international-transfer clauses require otherwise, these Terms are governed by Delaware law, excluding conflict-of-laws rules, and disputes will be heard exclusively in state or federal courts located in New Castle County, Delaware. Either party may seek legally available interim protective relief in a court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply. No provision shortens a statutory period where prohibited by law.

17. Third-party websites and general provisions

Links to independent websites are provided for convenience. Their own terms and privacy policies govern their independent activities. A link does not guarantee accuracy, security, or suitability, or authorize prohibited use.

The accepted Terms, DPA, Order Form, and any other incorporated signed agreement constitute the agreement for the engagement. A failure to enforce a provision is not a waiver. If a provision is unenforceable, the remaining provisions continue to the extent lawful. Assignment by you requires prior written consent, not unreasonably withheld; PeopleLinx may assign the agreement in connection with a corporate reorganization or transfer of the relevant business, provided the successor assumes its obligations.

Neither party is liable for delay caused by events beyond its reasonable control, subject to reasonable mitigation efforts and applicable law. This does not excuse payment for services already provided or eliminate data-protection duties.

PeopleLinx will provide at least 30 days' notice of material Terms changes unless a shorter period is necessary for legal or security reasons. Changes apply prospectively and do not override signed commitments; affirmative acceptance or amendment will be obtained where legally required. Updates to the Privacy Policy do not amend commercial terms or create a new confidentiality obligation by themselves.

Notices may be delivered to the registered account contacts. Questions and notices to PeopleLinx: info@peoplelinx.com; DPA notices may also be sent to pbaynes@peoplelinx.com or legal@peoplelinx.com. Mailing address: 1252 Drexel Avenue, No. 7, Miami Beach, Florida 33139, United States.
